TERMS & CONDITIONS

These terms and conditions form the basis of the agreement between you and The Breath Code Pty Ltd (ABN 87 677 431 971) (“The Breath Code”). This agreement consists of the following documents:

    • These Terms and Conditions;
    • The completed Application Form including any Program Questionnaire (online or offline);
    • The Program Description or Enrolment Outline;
    • Our Privacy Policy.
 

THE AGREEMENT

By submitting the Application Form, paying a Minimum Deposit, or registering online for any Breath Code offering, you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy.
We recommend reading these terms thoroughly before proceeding. If you have any questions, please contact us.
Keep a copy of these terms for your records.

DEFINITIONS

Application Form: Document outlining your personal details, selected offering, and payment method.

Program Questionnaire: A supplementary form we may ask you to complete to better tailor services.

Program Description / Enrolment Outline: Outline of the services included in your selected Breath Code offering.

Event: Any retreat, talk, session, class, or workshop, live or online, hosted by The Breath Code.

Intellectual Property: All IP rights worldwide including copyrights, trademarks, videos, content, branding, and recorded materials.

Losses: Financial losses, damages, legal fees, or other direct/indirect costs.

Minimum Deposit: Non-refundable payment required to secure enrolment.

Online Content: All digital resources hosted by The Breath Code.

Paid in Full Payment: Full amount paid at time of enrolment.

Participant: Any person enrolled in a Breath Code program.

Payment Plan: An instalment agreement for the full cost of your selected program.

The Breath Code Client / You: The individual enrolling in our services.

The Breath Code Website: www.thebreathcode.com.au

The Breath Code Facebook Group: Any private community group operated by us on Facebook.

The Breath Code, We, Us, Our: Refers to The Breath Code Pty Ltd and includes directors, facilitators, contractors, and team members.

The Breath Code Programs and Services: Includes 9D breathwork, breathwork, retreats, coaching, talks, online and in-person classes, digital resources, and promotional content.

ENROLMENT & PAYMENT

1. Enrolment is subject to approval and requires:

    • a completed Application Form and (if applicable) Questionnaire
    • payment of the Minimum Deposit or Full Payment

2. You commit to the full term of your selected offering regardless of attendance or completion.

3. Options available:

    • Paid in Full Payment
    • Payment Plan (first instalment due upon enrolment)

4. Prices exclude travel, accommodation, or incidentals.

5. Paid in Full Pricing is discounted due to lower admin requirements.

6. If full payment is not made by the deadline, Payment Plan pricing applies.

7. Missed payments result in immediate suspension and full balance becoming due.

8. You authorise us to deduct payments using your stored payment details.

9. Update your card details at least 10 days prior to billing.

10. Declined payments may incur fees.

OUTSTANDING FEES

11. If payments remain unpaid after 30 days, we may:

    • Charge interest
    • Report to a credit agency
    • Assign your account to a debt collection service
    • Recover associated legal/admin costs
 
 

CANCELLATION & CREDITS

12. You may cancel within 7 days of enrollment (cooling-off period) and receive a refund minus the deposit.

13. After 7 days, no refunds will be issued for any reason.

14. Transfer/no-show fees apply:

    • $150 for major events/programs
    • $50 for workshops/classes or online classes

15. Changes within 7 days of an event may incur a transfer fee.

16. Credits are valid for 24 months and are transferable to another person.

 

PROGRAM PAUSE & EXTENUATING CIRCUMSTANCES

17. You may pause participation for up to 8 weeks, once per enrolment.

18. Requests to cancel due to terminal illness, bereavement, or financial hardship require written proof.

19. Acceptance of such requests is at our sole discretion.

PARTICIPANT RESPONSIBILITIES & CONDUCT

20. You agree to:

    • Participate fully
    • Attend scheduled sessions
    • Treat facilitators and fellow participants with respect

21. We may suspend or terminate your access without refund if you:

      • Breach these terms
      • Are disruptive or disrespectful
      • Interfere with the experience of others
 
 

CONFIDENTIALITY

22. You agree to maintain confidentiality and not share content or personal details of other participants.

23. All materials are for your use only and may not be distributed or reproduced.

 

RESALE AND TRANSFER

24. Your enrolment is non-transferable and may not be resold or used for promotional purposes. Breach may result in cancellation without refund.

FINANCIAL RESPONSIBILITY

25. By enrolling, you confirm that payment of fees will not cause financial hardship and you accept full financial responsibility.

ONLINE GROUP ACCESS

26. Access to Facebook or online groups is conditional on respectful participation. Breach of community guidelines may result in removal.

INTELLECTUAL PROPERTY

27. All program materials remain the property of The Breath Code.

28. Reproduction or reuse without permission is prohibited.

29. We may seek legal action or injunctive relief for any IP breaches.

30. By attending an event, you agree that we may take photos or video for promotional use unless you request otherwise in writing.

DISCLAIMER

31. We do not guarantee results. Your outcomes depend on your commitment, effort, and circumstances.

32. Breathwork may involve intense emotional/physical experiences. By participating, you accept all risks.

33. Breathwork is not a substitute for medical, psychological, or crisis support. Please consult a healthcare provider if you’re dealing with acute mental health issues.

34. Breathwork may not be suitable for those who are pregnant or living with conditions such as severe asthma, epilepsy, or cardiovascular illness. Consult your doctor before participating.

35. We may receive commissions from referrals.

FORCE MAJEURE

36. If services are cancelled due to an event outside our control (e.g., pandemic, natural disaster), we will reschedule or offer a credit.

LIABILITY & INDEMNITY

37. You agree to take full responsibility for your experience and actions, and release The Breath Code from any liability resulting from your participation.

38. You agree to cover any loss, damage, or cost resulting from a breach of these terms.


GENERAL

39. This agreement is governed by the laws of Victoria, Australia.

40. If any clause is invalid, the remainder stays in effect.

41. This agreement can only be varied with written approval.

42. A failure to enforce any right under this agreement is not a waiver of that right.

43. To the extent permitted by law, our liability is limited to the total amount you paid.
